1. Eligibility to Join
The Stylish Fabric x Michelle Hébert Sewing Machine Give-a-way (the “Promotion”) is open only to legal residents of the fifty (50) United States (including District of Columbia) who are eighteen (18) years or older at the time of entry. Void in Guam, Puerto Rico, the U.S. Virgin Islands, and other U.S. territories and possessions and where prohibited by law. Employees of Stylish Fabrics and Michelle Hébert or any of its respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Promotion and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members (people who share the same residence at least three (3) months out of the year) of each such employee are not eligible. The Promotion is subject to all applicable federal, state and local laws and regulations. Participation constitutes entrant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. The Promotion consists of a sweepstakes (the “Sweepstakes”).
2. Sponsor
Stylish Fabric 1710 Hooper Avenue, Los Angeles, CA 90021. This Art Contest is in no way sponsored by, endorsed by, administered by, or associated with, Instagram.
3. Sweepstakes Start and End dates
The Promotion begins on January 3, 2017 at 12:00 a.m. Pacific Standard Time (“PST”) and ends on January 18, 2017 at 11:59 p.m. PST (the “Promotion Period”). Sponsor’s computer is the official timekeeper for this Promotion.
4. How to Enter
All images/films must be submitted though a public Instagram account belonging to the entrant and through the official application form. Including all required fields, including name, email and other information about your image submission.
During the Promotion Period, fill out and submit the "Official Application" with non-optional information. Limit three entries per person, during the Promotion Period. Multiple participants are not permitted to share the same email address. Any attempt by any participant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that participant’s plays and that participant may be disqualified. Sponsor reserves the right to reject any additional entries or entries that do not comply with these Official Rules. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the registrant or player. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Potential winner may be required to show proof of being the authorized account holder. All entries become the sole and exclusive property of Sponsor and will not be returned. Sponsor reserves the right to contact entrants and all other individuals whose email address is submitted as part of this promotion. By entering, you indicate your unconditional agreement to, and acceptance of, these Official Rules and Sponsor’s decisions, which are final and binding. You cannot win a prize unless you comply with all requirements in these Official Rules.
Entrants may be asked to supplement their submission (such as with a paragraph about their artwork or the highest resolution version of their image/film) anytime on or after January 20, 2017.
4-a. What to Enter
Stylish Fabric & Michelle Hébert are committed to encouraging collaboration and creativity — amongst our artists & our future’s creators. For our 2017 Art Contest, we’d like to see how you re-interpret the collaborative artwork of Michelle Hébert and the artists she works with. Re-interpret what you see into anything you can possibly imagine. Be it by evoking a feeling, drawing inspiration from the colors, or even a re-creation in a new medium. Express yourself freely and remember to embrace unconventional ideas, utilize new techniques, or blur the lines between one medium and another.
To ensure eligibility for the contest, please fill out the Application form, and post images or films on a public Instagram account with #SFxMH and the instagrams @stylishfabric & @michellehebertofficial tagged. You may be asked via email to submit the image or film directly. If so, please submit files no larger than 20MB or use dropbox/filetransfer. Higher resolution files will be requested should an entry be preselected to be awarded a prize or an honorable mention.
Entries may originate in any format — including, but not limited to digital files, digital prints, color transparencies, color prints, or black and white prints — so long as they are submitted electronically in a .JPEG .jpg .png .mp4 form. Multiple exposures that have been combined to produce a single "High Dynamic Range" image are acceptable.
If you choose to include people in your submission, you are responsible for obtaining the necessary releases from the individuals depicted, and must be able to provide copies of those releases to Stylish Fabric & Michelle Hébert upon request.
The following submissions are ineligible:
Images & films that violate or infringe upon another person's rights, including but not limited to copyright.
Images & films that contain sexually explicit, violent or other objectionable or inappropriate content.
Images & films that involve putting any individual or animal in danger.
Stylish Fabric & Michelle Hébert shall determine entry eligibility in its sole and absolute discretion.
5. Judging & Winner Selection
Images/films will be judged on originality, technical excellence, composition, overall impact, artistic merit and subject matter relevance to the inspiration imagery. Judging will be conducted by a panel of Stylish Fabric & Michelle Hébert employees and a group of guest artists to be selected by Stylish Fabric at its sole discretion (the “Panel”). The Panel will evaluate all valid entries and pick the following winners in the following categories:
Overall (3 winners. 1 first prize, 1 second runner-up, 1 third runner-up)
Honorable Mentions (Up to 10 honorable mentions will be selected):
The 10 honorable mentions will be notified of their status within 10 days of January 16, 2017 and will appear on stylishfabric.com & michellehebert.com by February 16, 2017.
All judging decisions are final. Please do not contact us about the status of entries or judging.
Stylish Fabric & Michelle Hébert will notify the winner via the contact information provided at the time of entry.
On or about January 20th the Sponsor, Michelle Hébert, and a panel chosen for their impartiality will select one (1) entry for the prize described below in Section 8 in a carefully determined 1st, 2nd, and 3rd place winner of all valid entries received. The entrants will be contacted using the email address provided with the entry and may be awarded the prize (subject to verification of eligibility and compliance with the terms of these rules.) Sponsor’s decisions as to the administration and operation of the Promotion and the selection of potential winner is final and binding in all matters related to the Promotion. Winner will be notified by email on or about January 20th. Failure to respond to the initial verification e-mail within five (5) days of notification or return of e-mail notification as undeliverable after three (3) attempts will result in disqualification and 2nd Place will be awarded the Grand Prize, 3rd place will earn 2nd place, and a new 3rd place winner will be notified.
6. POTENTIAL SWEEPSTAKES WINNER IS SUBJECT TO VERIFICATION BY SPONSOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.
7. Verification of Potential Winner
Potential winner must continue to comply with all terms and conditions of these Official Rules, and winning is contingent upon fulfilling all requirements. The potential winner will be notified by email, after the date of random drawing. The potential winner will be required to sign and return to Sponsor, within ten (10) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim his/her prize if applicable. If a potential winner of any prize cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the prize or prize notification is returned as undeliverable, potential winner forfeits prize. In the event that a potential winner of a sweepstakes prize is disqualified for any reason, Sponsor may award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries.
8. Winners
Stylish Fabric & Michelle Hébert will award the following prizes.
a. One (1) Overall GRAND PRIZE winner will receive:
Brother® Sewing Machine with all machine accessories, a sewing box kit, and $100 in Stylish Fabric
b. One (1) Overall Second runner-up winner will receive:
A sewing box kit, and $50 in Stylish Fabric
c. One (1) Overall third runner-up winner will receive:
A sewing box kit, and $25 in Stylish Fabric
Prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize for one of equal or greater value for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. Odds of winning a prize depend on the number of eligible entries received during the Promotion Period.
All entrants will receive a promotional code for 25% off any order on www.stylishfabric.com from January 18 - February 1 2017.
9. Your Rights
You will retain rights to any artwork you submit -- including ownership if applicable.If you submit an image/film to enter the Art Contest, you grant Stylish Fabric & Michelle Hébert a royalty-free, nonexclusive right during and after the Art Contest to: Display the image/film on the Art Contest submission website. Allow third-parties to share your artwork on the following social media platforms: Instagram, Twitter, Facebook, Tumblr, and Pinterest.
If your artwork is formally honored by the competition as a winner or an honorable mention, you grant Stylish Fabric & Michelle Hébert a royalty-free, nonexclusive right, in perpetuity, to: Use the image/film on the Internet and in Social Media in support of our mission. Use the image/film in Stylish Fabric & Michelle Hébert’s internal and external communications materials including but not limited to web sites and web publications, fact sheets, fund raising publications, advertising, multimedia, presentation and membership services, annual report and magazines. Provide your image to other individuals and organizations for related use in news stories, newsletters, reports, slide shows, displays, web pages, videos, membership premiums, and the like. Use, in connection with the Art Contest, your name, city, state and country of residence in promotions and other publications. Retain a digital copy of your image that will be archived in Stylish Fabric & Michelle Hébert’s photo library and accessible to staff via the internal online photo archive.
Stylish Fabric & Michelle Hébert will endeavor to credit all artwork and imagery with the caption "Person's Name" when the full name is available.
10. Conditions and Release of Entry
By entering, each participant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor and/or the Sweepstakes judges which are binding and final in all matters relating to this Sweepstakes; (b) release and hold harmless the Sponsor and each of their respective parents, subsidiary, and affiliated companies, the prize suppliers and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes and Promotion, and all of their respective past and present officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes and Promotion, acceptance or use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Sponsor from and against any and all claims, expenses, and liabilities (including reasonable attorneys fees) arising out of or relating to an entrant’s participation in the Sweepstakes and Promotion and/or entrant’s acceptance, use or misuse of prize.
11. Media / Publicity
Except where prohibited, participation in the Promotion constitutes winner’s consent to Sponsor’s and its agents’ use of winner’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, without further payment or consideration.
12. General Terms and Conditions
Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures or any other factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
13. Subscriber
When you enter, you will automatically become an subscriber of Michelle Hébert & Stylish Fabric. This includes special event invitations, digital messages and a e-newsletters. You may cancel and unsubscribe at any time.
14. Limitations of Liability
The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt or use or misuse of any prize. If for any reason an entrant’s entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes play, provided that if it is not possible to award another entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein. No more than the stated number of prizes will be awarded. In event that production, technical, seeding, programming or any other reasons cause more than stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, unawarded, eligible prize claims.
15. Disputes
Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, other than those concerning the administration of the Sweepstakes or the determination of winner, shall be resolved individually, without resort to any form of class action; (ii) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate Los Angeles Court located in Los Angeles County, Los Angeles; (iii) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.
16. Entrant’s Personal Information
Information collected from entrants is subject to the Sponsor’s Privacy Policy.
